Today, the Board of Directors, chaired by Alistair Dormer, appointed - pursuant to Article 2386 of the Italian Civil Code - Mr. Mario Garraffo as new non-executive and independent Director of the Company, replacing Ryoichi Hirayanagi.

Mr. Mario Garraffo has declared that he meets the independence requirements provided by Article 148, paragraph 3, of the Consolidated Financial Act (applicable to directors pursuant to Article 147-ter, paragraph 4, of the Consolidated Financial Act), the Corporate Governance Code adopted by Borsa Italiana S.p.A. and, as far as applicable, by Article 37 of Consob Regulation no. 16191 of 29th October 2007.

At today, Mr. Mario Garraffo does not hold Ansaldo STS shares.

Furthermore, the Board of Directors assessed the independence – pursuant to Article 148, paragraph 3, of the Consolidated Financial Act (applicable to directors pursuant to Article 147-ter, paragraph 4, of the Consolidated Financial Act), to the Corporate Governance Code adopted by Borsa Italiana S.p.A. and, as far as applicable, to Article 37 of Consob Regulation no. 16191 of 29th October 2007 - of the director Mr. Mario Garraffo. In assessing the independence requirements pursuant to the Corporate Governance Code, the Board of Directors adopted the assessment criteria set out by the same Code.

The Board of Directors also appointed Ms. Karen Boswell as Vice President of the Board of Directors, replacing Ryoichi Hirayanagi.
